It has been confirmed that Kakao's acquisition of SM Entertainment is imminent.
According to investment banking industry officials on the 11th, Kakao has come to an agreement with SM to acquire all of CEO Lee Soo-man's shares (18.72% stake) in the company and Lee Soo-man is set to make an official announcement.
CJ ENM was a strong potential buyer originally however Kakao offered to pay two to three times more of SM's current stock price for a closing price of up to 1 trillion won.
Kakao aims to maximize its pre-IPO corporate value with the acquisition and will actively utilize SM's intellectual property (IP) to develop new businesses, enter key overseas markets such as the U.S and recruit talent. The industry predicts Kakao's synergy will be maximized with their acquisition of SM.
Analysts believe Kakao can secure 20% of the domestic entertainment agency market and leap directly to 'Big 2' after HYBE (33%).
Kakao did not deny the rumors of the acquisition revealing in their announcement last year, "We have been continuously considering various measures related to the acquisition of SM to strengthen our competitiveness in the global content business but nothing has been decided in detail."
With the acquisition, SM's largest shareholder will be changed to Kakao. SM also decided to settle on a service contract with 'Like Planning,' a private company 100% owned by Lee Soo-man.
Meanwhile, Lee Soo-man was under controversy after it was revealed 46% of his company 'Like Planning's operating profit came from "consulting" services with SM.
